Please read these Terms of Service carefully before using Cloudjod. By creating an account or accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms of Service ("Terms") constitute a legally binding agreement between Cloudjod, a limited liability company incorporated in the State of Wyoming, USA, with its registered office at 30 N Gould St, Suite R, Sheridan, Wyoming 82801, United States of America ("Company," "we," "us," or "our"), and you, the individual or legal entity accessing or using the Cloudjod platform ("User," "you," or "your").
By (a) clicking "Create Free Account," (b) completing the registration form, (c) accessing the Service through any means, or (d) continuing to use the Service after a material change to these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to these Terms.
You must be at least 18 years of age and have the legal capacity to enter into contracts under applicable law. The Service is intended for business users. By registering, you represent that you are using the Service for commercial or professional purposes.
You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information to keep it accurate. You must provide a valid business email address and company name. Accounts registered with personal email domains (gmail.com, hotmail.com, etc.) are permitted for evaluation purposes but may be subject to additional verification before Broker tier activation.
You are solely responsible for maintaining the confidentiality of your login credentials, including your password and any API keys associated with your account. You agree to (a) use a strong, unique password; (b) not share credentials with unauthorized parties; (c) notify us immediately at support@cloudjod.com of any suspected unauthorized access. We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain credential security.
Each legal entity may maintain only one active account per Subscription tier. Creating duplicate accounts to circumvent trial limitations, rate limits, or subscription requirements is prohibited and may result in immediate suspension of all associated accounts.
Account registration requires email verification. Certain features — including PDF export, supplier questionnaires, verifier workflows, and broker client invitations — are only available to verified accounts. Verification emails are dispatched immediately upon registration; check your spam folder if not received within five minutes.
The Service is offered under three subscription tiers: (a) Lite — free, limited functionality for importers below the 50-tonne CBAM threshold; (b) Pro — paid monthly subscription at the published rate, providing full access to all four EU regulation modules for a single company; (c) Broker — paid monthly subscription providing multi-client portfolio management and white-label portal capabilities.
New accounts registering for Pro or Broker tiers receive a 14-day free trial commencing on the date of registration. No credit card is required to start a trial. At the conclusion of the trial period, accounts automatically revert to the Lite tier unless a valid payment method has been provided and a paid subscription confirmed.
All subscription payments are processed by Stripe, Inc. ("Stripe"). By providing payment information, you agree to Stripe's Terms of Service and authorize Stripe to charge your payment method on a recurring basis. Cloudjod does not store your full credit card number, CVV, or bank account details on its servers. All financial processing is handled entirely by Stripe.
Subscriptions are billed monthly on the calendar date corresponding to the day you commenced your paid subscription. If your billing date falls on a day that does not exist in a given month (e.g., the 31st in February), billing will occur on the last day of that month.
We reserve the right to modify subscription pricing with a minimum of 30 days written notice. Notice will be provided by email to the address registered on your account and by posting the updated pricing on our website. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
You agree not to use the Service to:
Violation of these acceptable use standards may result in immediate suspension or termination of your account without refund.
The Service exposes a REST API allowing programmatic access to calculation, reporting, and data management functions. API access is provided as part of Pro and Broker subscriptions. API keys are generated within the account dashboard and must be kept confidential. Each API key is associated with a specific account and may not be shared.
To ensure service quality and fair use across all customers, the following rate limits apply:
/api/auth/login, /api/auth/register): 10 requests per IP per minute./api/calculate, /api/dpp/*, /api/eudr/*, /api/csddd/*): 60 requests per authenticated user per minute./api/health, branding, accept-invite): 30 requests per IP per minute.Requests exceeding these limits receive HTTP 429 responses. Persistent circumvention of rate limits through distributed requests, IP rotation, or other technical means constitutes a violation of these Terms and may result in account suspension.
The current API is version 8. We will provide a minimum of 90 days notice before deprecating any API endpoint or introducing breaking changes. Non-breaking additions (new fields, new endpoints) may be introduced without notice.
We target a monthly uptime of 99.5% for the production Service, measured as the percentage of minutes in a calendar month during which the /api/health endpoint returns HTTP 200. This target excludes scheduled maintenance windows, which will be announced with a minimum of 24 hours notice except in cases of emergency security patches.
All User Data is stored on servers located in the European Union (Amsterdam and/or Frankfurt data centers). We do not transfer User Data outside the EEA without your explicit consent or a valid legal basis under GDPR.
We maintain daily encrypted backups of all User Data, retained for a minimum of 30 days. Backups are stored in a geographically separate EU location from primary data. In the event of data loss attributable to our systems, we will restore from the most recent available backup. We are not responsible for data loss caused by User actions, including deliberate deletion.
Compliance data related to CBAM declarations is subject to a mandatory minimum 7-year retention requirement under Article 7 of Regulation (EU) 2023/956. This data is retained in anonymized form following account deletion, as required by applicable law. We cannot process requests to delete CBAM-related compliance records within the statutory retention period.
The Service, including all software, algorithms, user interface designs, databases, calculation methodologies, and documentation, is the exclusive intellectual property of Cloudjod and is protected by United States and international intellectual property laws. These Terms do not grant you any right, title, or interest in or to the Service beyond the limited license to access and use the Service as described herein.
You retain full ownership of all User Data submitted to the Service. By submitting User Data, you grant Cloudjod a limited, non-exclusive, royalty-free license to process, store, and transmit User Data solely as necessary to provide the Service.
We may use aggregated, anonymized, and non-identifiable data derived from Service usage for the purpose of improving algorithms, training models, and generating industry benchmarks. No personally identifiable information or company-identifiable data is included in such aggregated datasets.
Your User Data belongs to you. We do not sell, rent, or otherwise transfer your User Data to third parties for their marketing purposes. Data is processed solely to provide the Service. Our complete data handling practices are described in our Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Cloudjod expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that: (a) the Service will be error-free or uninterrupted; (b) calculations, declarations, or reports generated by the Service will be accepted by EU regulatory authorities or constitute legal compliance; (c) the Service will meet your specific business requirements; (d) any specific result or outcome will be achieved through use of the Service.
The Service is compliance software, not legal advice. Compliance Output generated by the Service should be reviewed by qualified legal, tax, or customs advisors before submission to regulatory authorities. Cloudjod makes no representation that use of the Service alone constitutes or guarantees regulatory compliance under any applicable EU regulation.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CBAM ENGINE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
This limitation applies regardless of the cause of action, including but not limited to: regulatory fines or penalties imposed by EU authorities; lost profits or business opportunities; loss of data; inaccuracies in Compliance Output; failure of declarations to be accepted by the EU CBAM Registry; and claims by third parties including your clients, suppliers, or regulators.
In no event shall Cloudjod's total cumulative liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of: (a) the total subscription fees paid by you to Cloudjod in the twelve months immediately preceding the event giving rise to the claim; or (b) one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Cloudjod and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including EU compliance obligations; (d) any inaccurate or false data submitted by you through the Service; or (e) any dispute between you and a third party, including your clients or suppliers.
You may cancel your Subscription at any time through the account dashboard (Settings → Billing → Cancel Subscription) or by sending a written cancellation request to support@cloudjod.com. Cancellation takes effect at the end of the current billing period. See our Refund Policy for the applicable refund terms.
We reserve the right to suspend or terminate your account immediately, without notice or refund, if: (a) you breach any material provision of these Terms; (b) we have reasonable grounds to believe your account is being used for fraudulent, illegal, or harmful purposes; (c) you fail to pay subscription fees when due; or (d) we are required to do so by applicable law or regulatory order.
Upon termination, your right to access the Service ceases immediately. You may request a data export within 30 days of termination. After 30 days, User Data may be deleted, subject to the mandatory regulatory retention requirements described in Section 7.4.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration taking place in Sheridan County, Wyoming. The decision of the arbitrator shall be final and binding.
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Sheridan County, Wyoming to prevent irreparable harm while arbitration proceedings are pending.
If you are a consumer located in the European Union, you may also have the right to submit a dispute to an alternative dispute resolution entity under Directive 2013/11/EU. You may access the EU online dispute resolution platform at ec.europa.eu/consumers/odr.
We reserve the right to modify these Terms at any time. We will notify you of material changes by: (a) sending an email to the address registered on your account; and (b) displaying a prominent notice within the Service for at least 30 days prior to the effective date of the change. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
If you do not agree to the modified Terms, you must stop using the Service and cancel your Subscription before the effective date of the changes.
